Mid-sized UK independent broker Jelf today (19 August) announced that it is in discussions with Marsh about a possible takeover. Fenchurch Advisory has been advising the AIM-listed broker on the talks, which are understood to be at an early stage. Under UK takeover rules, Marsh will be required to announce its intention to make an offer or walk away by 5pm UK time on 16 September. The big-three broker has recently been targeting other intermediaries aimed at the UK small and medium enterprise market. Earlier this month it completed the acquisition of Leeds-based SME Insurance Services for an undisclosed sum, while back in January the global broker made an unsuccessful all-cash bid of more than £600mn for UK consolidator Towergate. A spokesman for Marsh said: "We refer you to the statement issued by Jelf Group earlier today. We have no comment beyond what is contained in that statement." Jelf's most recent financial results reported organic growth of 4.2 percent for the six months ended 31 March 2015. The group's revenues increased by 11 percent to £43.7mn, with the insurance broking division, which accounts for 70 percent of total revenue, up 13.5 percent to £30.5mn - of which 3.6 percent was attributed to organic growth. Ebitda increased by 24.6 percent to £8.1mn across the group, with the insurance business's Ebitda rising by 18.2 percent to £5.3mn. Current valuations for UK broker M&A are at around 10x to 12x Ebitda, putting a potential bid price in an £81mn-£97mn range. Sources told The Insurance Insider that private equity buyers were also likely to be interested in Jelf, although they would likely offer a smaller multiple for the business. Led by CEO Alex Alway, the firm also has employee benefits, health insurance and financial planning arms, and has 37 offices across England, Wales and Scotland employing more than 1,200 members of staff. Jelf has been highly acquisitive in recent years, buying claims specialist Hamilton Bond in March this year, along with Yorkshire-based Beaumonts Insurance Group in December 2014, which it acquired for £10.1mn. It gained a reputation as a national insurance broker following its acquisition of Hull-based The Insurance Partnership in 2013 for a consideration of £12mn. The firm also acquired Hertfordshire-based general insurance broker Libra Insurance Services earlier this month for an undisclosed sum. In May this year, Jelf was forced to dismiss media reports of a takeover bid from Aon, with Alway declaring that the firm wasn't in talks with anyone at the time. Jelf's share price initially rocketed 20 percent off the back of the announcement this morning before falling back to 235p by 11.00 UK time, a gain of 13.53 percent.
