As far as I see it, based on what's been said (correct me if I'm wrong!): NowDwayne Sports Limited 96.5% | Others 3.5% |
own: BRFC (1883) Limited
| (who own the Memorial Stadium) |
who in turn own 100% of: BRFC | (Football operations and player contracts) |
After Above is unchanged other than at the top level where new investor will own 55% of Dwayne Sports Limited. Effective ownership of 1883 (and therefore BRFC) becomes: New investor 55% x 96.5% = 53.08% Existing co-owners of Dwayne Sports Limited (Al-Qadi's presumably) 45% x 96.5% = 43.42% Existing others (Supporters Club and individual shareholders) = 3.5% How does that look? PP That is incorrect information by the BP covered by their edit, and so we dont know exactly how accurate that information is. The investment is in Dwane Sports which is currently 90% Wael and 10 Samer. So Al-Saeed does buy 55% then yes, he'll be the majority shareholder of both DS and BRFC, but I still dont see how Wael can remain club president without a controlling interest, which makes me think the BPs story is about 50% accurate and they are no more ITK than you or I. These are the excerpts from Bristol Live: Main text: "The agreement will see Al Saeed purchase a 55 per cent controlling stake and become co-owner of Dwane Sports, who hold own a 96.5 per cent stake in the Gas, with Wael Al-Qadi retaining his position as club figurehead." Addendum: "Editor's note: This story corrects an error in our print edition which erroneously claims Mr Al Saeed is purchasing a 55 per cent stake in Bristol Rovers." Hence how I applied the 55%. Anyway, until we know, we don't know! UTG

Thanks for finding time to write that up. I still don't get it (I'm not being deliberately dense). If this goes through - who owns Bristol Rovers FC? Or don't we actually know for sure? DS own Bristol Rovers, which would be made up of 3 shareholders Wael, Samer and Al-Saeed. Currently its just Wael and Samer. Wael would own the controlling shares so still calls the shots. How much Al-Saeed is buying we dont know yet, thats if he passes the fit and proper test and everything the BP has written is true. He also said “you can check out any time you like but you can never leave.” But I think in relation to this i think I prefer Elton John, “Sorry seems to be the hardest word.” UTG! Back again Prefer Elkie Brooks Fool if you think it's over Or Robbie Williams No Regrets Or the Who Won't get fooled again I'm thinking more Chas and Dave RABBIT

I'm sorry BG, I'm £50,000 out and I apologise. But the question who's behind the senior management member of staff who's lent the club £700,000 still exists. What about the £35k interest you mentioned paid to them though, can see that either?? PP

Who do you think the senior person in management who lent the club £750,000 might be as shown in the recent accounts ? Who ever it is was also paid £35,000 interest for their support. If it were a director then the accounts would have stated that. I can't easily see these figures in the Accounts. Could you reference them please? TIA PP

It sadly sounds like Wael's promising something again the club's not going to deliver on. Would be peak Gas if Wael doesn’t deliver his promised stand and Joe delivers 6 straight defeats to end the season. Fingers crossed eh??

Swiss, is it Jim Chappell you are referring to? Good morning PP - You were there... Did you see Jim Chappell or anyone else refused entry? From your earlier statement you didn't see anyone ejected. The person in question might be 'despicable' in Wael Al-Qadi's eyes (let's not go over that again), but if it's his right to attend the AGM in law, then that's a right. Wael's bessie mate for ever might not like it, but it's the law. Morning Epping, No, I didn't see Jim or anyone else refused entry or visibly ejected - certainly no altercation as that would have been plain to see. Jim was in the room immediately ahead of the AGM commencing but I don't recall him being there once the meeting was in progress although I was ensconced in conversation in that overlap period so can't be certain. I'm not aware either whether Jim is a shareholder in his own right, but I believe he was (/is?) a trustee for the SC in their capacity of shareholder on behalf of the Share Scheme (ref SS agreement on SC website) so conceivably had a formal invite in that capacity - just conjecture on my part of course. There you go, you now know as much as I do on this front! PP

I'd be interested to know if this person was ejected from the main body of the meeting, or was spoken to in private and asked not to attend. Good question Bath. I've been told the former (and not from swiss). I know that's not proof. But it makes me wonder why multiple people would make up the same story. If it's not true, then swiss and others will look pretty damn stupid. Their credibility (some would say 'what credibility?') damaged. If it is true, then I expect we'll get lots of comment from people who don't usually post here in an attempt to obfuscate the situation. The truth will out. I was there from the beginning of the meeting and didn't see anyone getting ejected.

If you don't like my answers please remember that you've brought these things up and I'm simply responding. Hani was listed in the 2020 accounts as the person providing assurances of continued financial support but we were told this was a mistake which would be corrected in the 2021 accounts. When his name appeared again in the 2021 accounts the Company Secretaries didn't respond to my requests for clarification but Tom Gorringe told Bath Gas it was a mistake again and would be corrected. It hasn't been corrected but strangely enough Sheffield Wednesday also made a mistake in the wording of their accounts and after it was pointed out they duly filed an amended set with Companies House proving that it is possible. If the auditors believe that Hani is in control of the funding which goes into Dwane Sports and then flows through to Rovers and this is why he is named then there is no problem with that. But just be up front about it. Wael wiped out most of the debt in 2020 but it was up to £4.5 million again by June 2021 and could be up to £10 million by the end of this year. Wael has said he will capitalise a further £3.6 million which is good but let's not pretend Rovers are debt free. The perception amongst Gasheads is that we should be grateful to Wael for keeping us afloat through the pandemic because in his open letter of April 1st he told us "the net cost of the pandemic will surpass £3 million". Most of us thought this meant that there would be an extra £3 million on top of the £3 million annual losses we had come to expect. That is why, following his statement, I posted that I thought losses for 2021 could be in the £4 - 5 million range because we at least had the JCH transfer proceeds as a partial offset. But it didn't happen like that. The trading loss for 2021 was only £500K more than in 2020 and with the incoming JCH money the net result was that we were £1 million better off than in 2020. In fact during 2021 Dwane Sports loaned less to Rovers than they had in 2020. So the notion that we were facing the gravest crisis in the club's history and that Wael did something extra special to keep us afloat through the pandemic is a myth. I'm afraid the "covenant" falls into the same category as the "12 stadium experts" and the "brand new first team complex with community facilities". Hi Swiss - Where can I find in the company accounts where Hani is named as providing continued financial support? Is this still indeed the case? If it's a mistake, no problema. Any idea when we can expect it to be rectified Bath Gas ? Here we are. Note 1.3, page 17: link

NEVER!! ..I'll go when he goes.simple equation,....did you ever hear of MUFC being called Alex Ferguson's Manchester United? ... thought not ..so why BRFC..... It does'nt mean JB owns our FC,just that he's the Manager. I'm sure it's a common enough media expression, to say the managers name followed by the FC he manages. Joey B*****'s Bristol Rovers

No way Wael sacks him with promotion surge going on. most likely “club are looking into it, consulting lawyers, in the meantime before we make an announcement we call for unity and focus and everyone to get behind the teams exciting bid for promotion!” and then a parting of the ways moment our season ends. Regardless what you want, can you call it more accurately than that? I don't think anyone can foresee the future. That's your guess. Fair enough. If (it's obviously a very big "if") B***** is found guilty and the Club do not sack him immediately - that places both Wael Al-Qadi and supporters in a horrible place. 1. It confirms that Wael is a liar. A man who's word cannot be trusted. He is backing 'his man'. It would suggest wife beating is not a serious offence in his mind. Disgusting. 2. Gasheads who still actively back B***** are giving their tacit support to a convicted violent thug and wife beater. That thought repulses me. Surely anyone with an ounce of decency would not want anything to do with the Club in this instance. But if he's found not guilty - like I said, it's business as usual. Gasheads - enjoy the football. I think using the term "liar" is inappropriate, and a little disrespectful at this point in time. If, when he made his comments, he never had any intention of subsequently taking action then maybe but that's a big presumption to make. Let's just wait and see I say.

Are you saying you believe him to be beyond redemption, unable to have a positive impact or to make up for his wrongdoings? If so, what place in society should he have? Apologies for the delay in getting back to you and for a long response to a short question. Redemption: B***** is quite a complex character. I feel sorry for him (bear with) in as much as he has reportedly had a very troubled upbringing. The dog incident. His brother. I've not read his book, but I am sure there are other examples that would have deeply effected him (particularly in his formative years). Just two examples of violent, deeply disturbing episodes in B*****'s life. These are not his fault. His future behaviour and the consequences of his behaviour ARE his fault. No need to go through them all again. He has to take responsibility for these. So - is B***** beyond redemption? No. Some people are inherently evil and beyond help. Bring back capital punishment I say. But I think that there is still hope for B*****. But surely the road to redemption has to start with an admission of your own problems. Show some remorse for previous indiscretions. Face up to your demons. I understand he underwent anger management therapy about 15 years ago. That would appear to have not worked. If B***** is currently undergoing therapy, then I unreservedly apologise. I think if he was, that would be in the public domain. It would certainly help 'the cause' if it was, and I would applaud it. But without professional help then I believe it is only a question of time before we see violence used again. Sorry - Inherently violent people don't just 'change'. There is a pattern to their behaviour. They have to break that pattern. Positive impact: Given decent crowds and a "top 6" budget, we are still underperforming. Undoubtedly there has been a turnaround in form since the first 10 or so games of the season and credit should go to B***** for this. (Is 'typing through a gritted keyboard' a thing?) Make up for his wrong doings: I would genuinely like to hear how closely B***** works with the Community Trust. Does anyone have any links? (I'm not taking the piss). This would appear to be an excellent conduit for him Place in Society (senior management position, role model). B***** a Bristol Rovers manager? If he faces his demons, accepts his previous mistakes, takes responsibility for them - accepts he needs professional help and undergoes a programme of rehabilitation... Then, on balance, why not. Regards. Thanks for the detailed response EG and I hope you're on the mend from your cycling accident. I was out cycling yesterday (only up past Redcliffe Bay to Clevedon and back) and it's treacherous out there! We're not privy to what rehabilitation he might be undertaking and I'm not convinced the wider support base would necessarily benefit from knowing - and if it was in the public domain it would no doubt be picked apart on social media. I don't have any expertise to comment on inherently violent people and behaviour patterns but being under the microscope that he is under now there's nowhere to hide of course. Results are improving and there is a clear sign that the playing squad has unity, and with the management team. Quality/style of play and consistency is better too, lapses like Oldham excepted of course. So I see real positives there. Agreed, the Community Trust would be the perfect vehicle to be involved in. I'm not sure of the current make up of the management team there following the recent trustee resignations but Adam Tutton and his team appear to be doing a fine job. As it stands, I'm "happy" to see how this plays out with events (football related or otherwise) dictating events. Appreciate yours and others' stances of course. Cheers UTG

I wasn't referring to recent results, although that is a plus point, I was reflecting on his general demeanor. I don't think any of us are exposed enough to him at close quarters (thankfully) to determine his general demeanor. I would agree his interviews appear better considered. But then he did it again with his pseudo psychology points about "only positive people" and "the difficulty of life" whatever that actually means. Does he mean conception? Gestation? Who knows, because it's a meaningless statement. Perhaps he meant "the difficulties of everyday life". We can only guess. It's just another example of utter BS coming out of his mouth. I can only go on what I see. I believe he undoubtedly did mean "the difficulties of everyday life" and whilst ideally we would wish for a more eloquent speaker I personally am not hung up on that in a football manager. In relation to his wider audience and getting "bums on seats" he needs to read the room and I think by and large he's now succeeding.

Agreed. He certainly appears capable in my view, proof is in the pudding as always of course. I just sense that over the last few months he's beginning to earn it. Personally I don't think winning a few football matches earns redemption given his history. The issues go far greater than that. Perhaps a pull back from the so obvious narcissistic behaviour might be a start. That doesn't require a win at Stevenage (as a starter for ten). I wasn't referring to recent results, although that is a plus point, I was reflecting on his general demeanor.
